01. Acceptance of Terms

By requesting a quotation, executing a project proposal, or utilizing any services provided by Traction Dynamix Engineering, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service. If you do not agree to these terms, you must not use our website or services.

Project deliverables, timelines, and costs will be detailed in individual Project Proposals or Statements of Work (SOW) mutually signed by both parties.

03. Intellectual Property & IP Transfer

a) Client Ownership: Upon receipt of full and final payment, all custom design files, CAD models, CNC programs, custom source code, and application binaries developed specifically for the Client shall be transferred to and owned solely by the Client.

b) Background IP: Traction Dynamix Engineering retains all rights and ownership of any pre-existing code, libraries, methodologies, post-processor templates, or general concepts used during the project. We grant the Client a non-exclusive, perpetual, worldwide, royalty-free license to use such background elements as integrated into the final deliverables.

04. Confidentiality & NDA

We respect the confidentiality of your proprietary manufacturing designs, parts, codebases, and business strategies. Traction Dynamix Engineering agrees to sign a bilateral Non-Disclosure Agreement (NDA) before accepting sensitive project data. All CAD files, drawings, and technical parameters shared with us will remain strictly confidential and will never be shared with third parties without your explicit consent.

05. Client Responsibilities

To complete your project successfully, you agree to:

  • Provide accurate measurements, drawings, requirements, and hardware constraints.
  • Promptly review deliverables and provide feedback within agreed timelines.
  • Ensure all materials, drawings, or software assets provided to us do not violate third-party copyright or IP rights.

06. Payment Terms & Invoicing

a) Fees: Services are billed as per the agreed project proposal (fixed cost or hourly rates).

b) Milestone Invoices: For long-term projects, payments are structured around specific milestones (e.g., 30% advance, 40% intermediate, 30% final sign-off).

c) Taxes: All applicable taxes (including GST where applicable in India) will be listed on our official invoices.

Invoices must be paid within the term specified (typically 15 to 30 days from date of issue). Late payments may result in suspension of ongoing work or delay in delivering final files.

07. CNC Toolpath Verification Warning

IMPORTANT SAFETY NOTICE: While Traction Dynamix Engineering utilizes advanced simulation tools to verify CNC programs, post-processing errors can happen due to controller variants. The Client is solely responsible for performing a dry run, verifying coordinates, and proving out all programs on the machine tool before running production cycles. We are not liable for any machine collisions, tool breakages, or ruined material.

08. Limitation of Liability

To the maximum extent permitted by applicable law, Traction Dynamix Engineering shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or production downtime, arising from the use of our services or website, even if advised of the possibility of such damages.
